1. Introduction

Welcome to Electrics Elite (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of https://electrics-elite.com (the “Website”) and any related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Eligibility

You confirm that you are at least 18 years old and have the authority to enter into these Terms. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.

3. Accounts and Registration

3.1 Account Creation. You agree to provide accurate, current, and complete information and to keep it updated.
3.2 Account Responsibilities. You are responsible for (a) safeguarding your credentials, (b) all activity under your account, and (c) promptly notifying us of any unauthorized use.

4. Orders and Payment

4.1 Product Availability. All products are subject to availability. We may limit quantities or discontinue products at any time.

4.2 Pricing. Prices may change without notice. We are not liable for obvious pricing errors.

4.3 Payment Methods. We accept Shopify Payments (Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay), Shop Pay, Shop Pay Installments (BNPL; availability subject to provider approval; U.S. customers only), and PayPal. You agree to provide accurate billing information and authorize us or our processors to charge your payment method.

4.4 Order Acceptance. We may decline or cancel orders prior to shipment for reasons including product unavailability, errors in pricing/description, address or payment verification issues, or suspected fraud. If we cancel, we will refund any amount captured.

4.5 BNPL Terms. If you select a BNPL option, your financing agreement is with the BNPL provider, not with Electrics Elite. The provider determines eligibility, payment schedule, interest (if any), and applicable fees. Please review the provider’s terms shown at checkout.

5. Shipping and Delivery

5.1 Shipping Policy. See our Shipping Policy for carrier options, handling times, and delivery estimates.
5.2 Risk of Loss. Title and risk of loss pass to you upon delivery to the shipping address as indicated by the carrier’s “Delivered” scan. Damage/loss must be reported to us within 48 hours of delivery so we can assist with a carrier claim (see Return & Refund Policy § 6.4).
5.3 Delivery Estimates. Any delivery dates are estimates and are not guaranteed.

7. Intellectual Property Rights

7.1 Ownership. All Website content (text, graphics, logos, images, software) is owned by Electrics Elite or its licensors and protected by law.

7.2 Limited License. We grant you a limited, non‑exclusive, non‑transferable license to use the Services for personal, non‑commercial purposes.

7.3 Restrictions. You may not reproduce, distribute, modify, reverse engineer, or create derivative works from the Services or content without our prior written consent. You may not use meta tags/hidden text that use our trademarks without permission.

8. User Content

8.1 Submissions. If you submit content (reviews, comments, images), you grant us a non‑exclusive, worldwide, royalty‑free, perpetual license to use, reproduce, display, and distribute such content in connection with the Services.

8.2 Prohibited Content. Do not submit content that is unlawful, offensive, infringing, or misleading.

9. Prohibited Activities

You agree not to: (a) violate laws; (b) interfere with or disrupt the Services; (c) attempt unauthorized access or circumvent security; (d) scrape, crawl, or use bots without permission; (e) misrepresent your identity; (f) post false reviews.

10. Disclaimers and Warranties

10.1 “As Is.” The Services are provided “as is” and “as available” without warranties of any kind.

10.2 No Guarantee. We do not warrant that the Services will meet your requirements or be uninterrupted or error‑free.

11. Limitation of Liability

To the maximum extent permitted by law, Electrics Elite and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages. Our maximum aggregate liability for any claim arising under these Terms is limited to the amount you paid for the affected order.

12. Indemnification

You agree to indemnify and hold Electrics Elite harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your breach of these Terms, or your violation of any third‑party rights.

13. Termination

We may suspend or terminate your access at any time for violation of these Terms or where required by law. Upon termination, provisions that by their nature should survive (e.g., IP, disclaimers, liability limits) will survive.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law rules.

15. Dispute Resolution; Arbitration; Class‑Action Waiver

We will first try to resolve disputes informally. If we cannot, any dispute arising from or relating to these Terms or the Services will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA).

• Venue & Language: Arbitration will take place in Delaware (or by video/teleconference if mutually agreed) in English.

• Small‑Claims Exception: Either party may bring individual claims in small‑claims court instead of arbitration.

• Class‑Action/Jury Waiver: You and we waive any right to participate in a class action or jury trial.

• 30‑Day Opt‑Out: You may opt out of this arbitration agreement by emailing support@electrics-elite.com within 30 days of first accepting these Terms; your email must include your name, address, and a clear statement that you opt out of arbitration.

16. Changes to Terms

We may update these Terms at any time. Changes become effective when posted on electrics-elite.com. Your continued use after changes constitutes acceptance.

17. Miscellaneous

17.1 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

17.2 Entire Agreement. These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and Billing Terms and Conditions, constitute the entire agreement relating to the Services.

17.3 Waiver. Our failure to enforce any provision is not a waiver.

17.4 Assignment. You may not assign these Terms without our consent; we may assign them as permitted by law.
